Introduction to Business Registration

Starting a business in Ghana requires navigating several administrative steps. The first and most critical step is registering your business with the Office of the Registrar of Companies (ORC). This establishes your business as a legal entity, which is necessary to open corporate bank accounts, apply for credit, and enter formal contracts.

Depending on your business structure, you can register as a Sole Proprietorship (often styled as "Business Name Registration") or a Company Limited by Shares. Companies Limited by Shares require a minimum of one shareholder and two directors, and they shield your personal assets from business liabilities.

Tax and Regulatory Compliance

Once registered, you must obtain a Tax Identification Number (TIN), which is now linked directly to your Ghana Card. You must register with the Ghana Revenue Authority (GRA) for tax purposes. Even small businesses are liable for taxes, often under the Simplified Tax Scheme (such as the Turnover Tax or Presumptive Tax for micro-scale traders).

Additionally, if you are employing individuals, you must register with the Social Security and National Insurance Trust (SSNIT) to make pension contributions on behalf of your workers. Remaining compliant from day one prevents costly penalties and audits down the line.
